A trade name of Masse Legal Services, LLC
1. INTRODUCTION
Masse ParaLegal Services, a trade name of Masse Legal Services, LLC (“Masse ParaLegal Services,” “we,” “us,” or “our”), provides professional paralegal, legal administrative support services, notary, and related services to attorneys, law firms, businesses, and self-represented individuals.
These Terms & Conditions (“Terms”) govern your access to and use of our website, communications, and services. By accessing our website, submitting an inquiry, requesting services, or otherwise engaging with Masse ParaLegal Services, you acknowledge that you have read and understood these Terms and agree to be bound by them, as applicable to your use of our website or services.
Masse ParaLegal Services is not a law firm and does not provide legal advice or attorney representation to self-represented clients. Our services are limited to permissible paralegal, administrative, document-preparation, notarial, and related support services. Nothing on this website or in communications with Masse ParaLegal Services should be interpreted as legal advice or as creating an attorney-client relationship.
Services provided to attorneys and law firms are performed under the direction and supervision of the engaging attorney or law firm, as applicable.
2. USE OF WEBSITE AND SERVICES
The Masse ParaLegal Services website is provided for general informational purposes and to allow prospective and existing clients to learn about our services, contact us, and request assistance.
You agree to use our website and services only for lawful purposes and in a manner consistent with these Terms. You may not use the website or our services to engage in fraudulent, unlawful, abusive, or misleading activity; interfere with the operation or security of the website; attempt to gain unauthorized access to systems, accounts, or information; or submit materials that you do not have the legal right or authority to provide.
Submitting an inquiry, contacting Masse ParaLegal Services, or providing information through the website does not create a client relationship or guarantee that services will be accepted or provided. We reserve the right to decline a request for services when appropriate, including when a request is outside our permitted scope of services, presents a conflict or other professional concern, or cannot reasonably be accommodated.
When services are accepted, the specific scope, responsibilities, rates, payment terms, deadlines, and other applicable terms may be established in a separate service agreement, engagement document, proposal, invoice, or other written communication. If those terms conflict with these general Terms & Conditions regarding a specific engagement, the terms of the applicable written service agreement or engagement document will control for that engagement.
3. SCOPE OF PARALEGAL SERVICES
Masse ParaLegal Services provides non-attorney legal support and related services. The specific services available will depend on the nature of the request, applicable law, professional requirements, and the terms of the individual engagement.
For attorneys, law firms, and other authorized legal professionals, services may include legal research, document drafting and preparation, discovery support, case and file management, court filing support, trial preparation, administrative legal support, and other delegated paralegal services performed under appropriate attorney direction or supervision.
For self-represented individuals, services may include document preparation and formatting, document review for completeness and organization, filing and procedural support, assistance organizing case materials, subpoena preparation and process coordination, and other permissible administrative or paralegal support. Masse ParaLegal Services does not select legal strategies, provide legal opinions, advise self-represented clients regarding their legal rights or remedies, or represent clients in court.
Services may be provided remotely nationwide when permissible and may also be provided locally in Minnesota. Availability of any particular service is subject to applicable federal, state, and local laws, court rules, professional regulations, and jurisdictional requirements.
Masse ParaLegal Services reserves the right to decline, limit, or discontinue services that are outside the permitted scope of our services or that would require services to be performed by a licensed attorney or other licensed professional.
4. NO LEGAL ADVICE OR ATTORNEY-CLIENT RELATIONSHIP
Masse ParaLegal Services is not a law firm and does not provide legal advice, legal opinions, or attorney representation to self-represented individuals. Nothing contained on this website, in informational materials, or in general communications from Masse ParaLegal Services should be construed as legal advice.
Use of this website, submission of a contact form, communication with Masse ParaLegal Services, or receipt of general information does not create an attorney-client relationship with Masse ParaLegal Services, Masse Legal Services, LLC, or any individual associated with the business.
Self-represented individuals remain responsible for making their own legal decisions, determining their legal rights and obligations, selecting legal strategies, meeting applicable deadlines, and determining whether to seek advice or representation from a licensed attorney.
Masse ParaLegal Services may provide services to attorneys and law firms as delegated paralegal support. In those engagements, the retaining attorney or law firm remains responsible for attorney supervision, legal judgment, legal advice, representation, and compliance with applicable professional obligations.
When a matter requires legal advice, legal representation, or the professional judgment of a licensed attorney, Masse ParaLegal Services may recommend that the individual consult with or retain a licensed attorney. Any decision to retain an attorney remains solely with the individual.
5. CLIENT RESPONSIBILITIES
Clients are responsible for providing Masse ParaLegal Services with accurate, complete, and timely information and materials reasonably necessary to perform the requested services.
Clients are responsible for reviewing documents and work product provided by Masse ParaLegal Services for accuracy, completeness, and consistency with the information supplied. Clients should promptly notify us of any errors, omissions, changes, or additional information that may affect the requested services.
Self-represented clients remain solely responsible for their legal decisions, case strategy, compliance with court rules and procedures, and determining whether documents are appropriate for their particular circumstances. Masse ParaLegal Services cannot guarantee that a court, government agency, opposing party, or other third party will accept, approve, or grant any filing, request, or desired outcome.
Clients are responsible for communicating applicable deadlines and providing requested information sufficiently in advance to allow services to be completed. Masse ParaLegal Services does not assume responsibility for deadlines that were not disclosed, were inaccurately communicated, or could not reasonably be met based on the timing of the request.
Clients must not ask or direct Masse ParaLegal Services to engage in conduct that is unlawful, fraudulent, misleading, unethical, or outside the permissible scope of paralegal or other services we provide. We reserve the right to decline or discontinue services when such concerns arise.
6. FEES, PAYMENTS, AND BILLING
Fees for services may be charged on an hourly, flat-fee, project-based, reserved-support, or other agreed-upon basis. Applicable rates, fees, retainers or deposits, and payment terms will be communicated before or during the engagement and may be set forth in a service agreement, proposal, invoice, or other written communication.
Clients are responsible for payment of all fees and authorized expenses incurred in connection with requested services. Additional costs may apply for expedited or priority work, filing fees, service fees, postage, copying, travel, third-party vendors, or other expenses reasonably necessary to complete the requested services. When practicable, we will communicate material third-party expenses in advance.
Invoices are due according to the payment terms stated on the applicable invoice, service agreement, or engagement document. Masse ParaLegal Services reserves the right to require advance payment, a deposit, retainer, or replenishment of reserved funds before beginning or continuing work.
Failure to make payment when due may result in suspension or discontinuation of services, subject to any applicable contractual or legal obligations. Clients remain responsible for amounts properly incurred before services are suspended or terminated.
Unless otherwise required by law or expressly agreed to in writing, payments for services already performed and expenses already incurred are non-refundable. Any refund or credit relating to prepaid but unused services will be determined according to the applicable service agreement, payment terms, and circumstances of the engagement.
Masse ParaLegal Services may revise its rates or pricing from time to time. Any rate changes affecting an existing engagement will be handled in accordance with the applicable service agreement or other written terms governing that engagement.
7. SCHEDULING, DEADLINES, AND TURNAROUND TIMES
Masse ParaLegal Services makes reasonable efforts to complete accepted work within agreed-upon or anticipated timeframes. Turnaround times may vary depending on the nature and complexity of the work, the completeness of information provided, current workload, court or agency requirements, third-party availability, and other circumstances.
Any estimated completion date or turnaround time is an estimate unless a specific deadline has been expressly accepted by Masse ParaLegal Services in writing. Submission of a request or document does not, by itself, constitute acceptance of a deadline.
Clients are responsible for clearly communicating all known court dates, filing deadlines, statutes of limitation, response deadlines, hearing dates, and other time-sensitive requirements when requesting services. Providing a deadline does not guarantee that Masse ParaLegal Services can accept or complete the requested work within that timeframe.
Rush or priority services may be available depending on capacity and may be subject to additional fees. We will confirm acceptance of expedited work separately.
Masse ParaLegal Services is not responsible for delays caused by circumstances outside our reasonable control, including court or government system outages, electronic filing system interruptions, delayed responses from clients or third parties, incomplete or inaccurate information, technology failures, severe weather, emergencies, or other events beyond our reasonable control.
Clients should allow sufficient time for review, revisions, signatures, filing, service, delivery, or other steps required after our work is completed.
8. DOCUMENT PREPARATION, FILING, AND THIRD-PARTY SERVICES
Masse ParaLegal Services may assist with document preparation, formatting, organization, filing support, service coordination, and other related administrative or paralegal tasks when permitted by applicable law and within the scope of an accepted engagement.
Clients are responsible for reviewing and approving documents before signing, filing, serving, or otherwise using them. Unless expressly agreed otherwise in writing, Masse ParaLegal Services is not responsible for independently verifying the accuracy or completeness of factual information supplied by a client or third party.
When electronic or physical filing services are included in an engagement, Masse ParaLegal Services will make reasonable efforts to submit documents in accordance with the information and instructions provided. We cannot guarantee acceptance of a document for filing by a court, government agency, or electronic filing system. A filing may be rejected, returned, delayed, or require correction for reasons outside our control.
Certain services may require the involvement of third parties, including courts, government agencies, electronic filing providers, process servers, court reporters, notaries, delivery services, technology providers, or other vendors. Masse ParaLegal Services is not responsible for the independent acts, omissions, processing times, availability, policies, or decisions of unaffiliated third parties.
Third-party fees, including filing fees, service-of-process fees, recording fees, delivery charges, or similar expenses, are separate from Masse ParaLegal Services’ professional fees unless expressly stated otherwise in writing.
Nothing in this section authorizes Masse ParaLegal Services to perform an act that must legally or professionally be performed by a licensed attorney or other licensed professional.
9. CONFIDENTIALITY AND COMMUNICATIONS
Masse ParaLegal Services recognizes that clients may provide private, sensitive, or confidential information in connection with requested services. We take reasonable measures to safeguard information entrusted to us and handle such information in accordance with applicable law, contractual obligations, and our Privacy Policy.
Clients should use reasonable care when transmitting sensitive or confidential information electronically. Email, website forms, text messaging, and other electronic communications may not always be completely secure, and clients should avoid transmitting highly sensitive information through unsecured methods unless specifically requested or otherwise appropriate.
Masse ParaLegal Services may use email, telephone, text messaging, electronic signatures, client portals, cloud-based platforms, video conferencing, and other electronic tools to communicate and provide services. By providing contact information and communicating with us electronically, clients consent to reasonable service-related electronic communications, subject to applicable law and any communication preferences communicated to us.
When Masse ParaLegal Services is engaged by an attorney or law firm, information relating to that engagement will be handled consistent with the applicable service agreement, the attorney’s instructions, and any confidentiality obligations applicable to the engagement.
Information may also be disclosed when authorized by the client, reasonably necessary to provide requested services, required by law or legal process, or otherwise permitted under our Privacy Policy and applicable law.
Clients are responsible for notifying Masse ParaLegal Services if particular communication methods should not be used or if additional security precautions are required for a specific matter.
10. INTELLECTUAL PROPERY AND WEBSITE CONTENT
The content available on the Masse ParaLegal Services website, including text, graphics, logos, branding, designs, page layouts, downloadable materials, and other original content, is owned by or licensed to Masse Legal Services, LLC and is protected by applicable intellectual property laws.
Website content is provided for personal, informational, and legitimate business purposes only. You may not reproduce, republish, distribute, modify, sell, license, display, or otherwise use substantial portions of our website content for commercial purposes without prior written permission from Masse Legal Services, LLC, except as otherwise permitted by law.
Documents, templates, educational materials, guides, checklists, or other resources made available through the website remain subject to any additional terms, restrictions, or permissions provided with those materials.
Materials or information supplied by a client remain the property of the client or their respective owner. Clients represent that they have the necessary rights or authorization to provide materials to Masse ParaLegal Services for use in connection with requested services.
Unless otherwise agreed in writing, payment for customized work product prepared for a client permits the client to use that work product for the purpose for which it was prepared. This does not transfer ownership of Masse ParaLegal Services’ pre-existing templates, systems, processes, methodologies, know-how, or other proprietary materials incorporated into or used to create the work product.
Nothing in these Terms grants any license or right to use the Masse ParaLegal Services or Masse Legal Services, LLC name, logo, trademarks, service marks, or other branding without prior written authorization.
11. DISCLAIMERS AND NO GUARANTEE OF OUTCOME
Masse ParaLegal Services strives to provide accurate, professional, and reliable paralegal and administrative support services. However, services and website content are provided subject to the limitations described in these Terms and any applicable service agreement.
Masse ParaLegal Services does not guarantee any particular legal, procedural, financial, or other outcome. Results may depend on numerous factors outside our control, including applicable law, judicial discretion, court or agency decisions, opposing parties, attorneys, evidence, procedural requirements, deadlines, and the individual circumstances of a matter.
The preparation, review, formatting, filing, or submission of a document does not guarantee that the document will be accepted, approved, granted, or produce a particular result. Likewise, prior results, examples, testimonials, or descriptions of services should not be interpreted as a promise or guarantee of future results.
Information provided on our website or in general informational materials is provided for general informational purposes and may not reflect the most current legal developments, court rules, procedures, or requirements applicable to a particular jurisdiction or matter. Website information should not be relied upon as a substitute for advice from a licensed attorney.
Self-represented individuals are responsible for determining whether professional legal advice or representation is appropriate for their circumstances. Masse ParaLegal Services does not assume responsibility for legal decisions made by a self-represented individual based on general information, document-preparation assistance, or administrative support.
To the extent permitted by applicable law, Masse ParaLegal Services disclaims warranties regarding the uninterrupted availability of its website and third-party technology platforms and does not warrant that such systems will always be error-free, secure, or continuously available.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Masse ParaLegal Services and Masse Legal Services, LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of our website or services, including loss of profits, business opportunities, data, or other intangible losses.
Masse ParaLegal Services is not responsible for losses or damages resulting from inaccurate, incomplete, or untimely information supplied by a client or third party; undisclosed deadlines; client decisions; court or agency actions; filing rejections; third-party conduct; or events beyond our reasonable control.
Clients remain responsible for reviewing and approving documents, providing accurate information and instructions, communicating deadlines, and making their own legal decisions. Nothing in these Terms transfers responsibility for legal judgment or legal strategy from a self-represented individual to Masse ParaLegal Services.
To the extent permitted by applicable law, any liability arising from services provided by Masse ParaLegal Services will be subject to any limitations contained in the applicable service agreement or engagement terms.
Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
13. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless Masse ParaLegal Services, Masse Legal Services, LLC, and their owners, employees, contractors, and representatives from third-party claims, liabilities, damages, losses, or reasonable costs and expenses arising from or relating to:
information, documents, instructions, or materials you provide that are inaccurate, unlawful, misleading, or provided without necessary authorization;
your misuse of our website or services;
your violation of these Terms or applicable law; or
your infringement or violation of the rights of another person or entity.
This indemnification provision does not require you to indemnify Masse ParaLegal Services or Masse Legal Services, LLC for liability resulting from conduct for which indemnification cannot lawfully be required.
Any indemnification obligations relating to a specific client engagement may also be governed by the applicable service agreement or other written engagement terms.
14. TERMINATION OR SUSPENSION OF SERVICES
Masse ParaLegal Services reserves the right to decline, suspend, or discontinue services when reasonably necessary, subject to any applicable contractual or legal obligations.
Services may be suspended or terminated for reasons including nonpayment; failure to provide necessary information or instructions; repeated inability to communicate with the client; requests for services outside the permissible scope of our work; abusive, threatening, fraudulent, unlawful, or unethical conduct; conflicts or professional concerns; or circumstances that make continued services impracticable.
Clients may request termination of services at any time, subject to the terms of the applicable service agreement or engagement. Termination does not eliminate responsibility for fees, expenses, or other amounts properly incurred before termination.
Upon termination, Masse ParaLegal Services may provide completed or partially completed work product and client-provided materials as appropriate, subject to applicable law, contractual obligations, record-retention requirements, and payment terms.
Where reasonably practicable, we will communicate a suspension or termination of services and any applicable next steps. However, Masse ParaLegal Services is not obligated to continue accepting new assignments or additional work after an engagement has ended.
Termination of services does not create an obligation for Masse ParaLegal Services to monitor future deadlines, court dates, filing requirements, communications, or developments relating to a matter after the engagement has concluded.
15. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms & Conditions are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.
Before initiating formal legal proceedings arising from or relating to these Terms or services provided by Masse ParaLegal Services, the parties agree to make a good-faith effort to resolve the dispute through direct communication.
If a dispute cannot be resolved through direct communication, the parties may agree to participate in mediation or another mutually acceptable form of alternative dispute resolution before pursuing litigation.
Unless otherwise required by applicable law or agreed to in writing, any legal action arising from or relating to these Terms or services provided by Masse ParaLegal Services shall be brought in a court of competent jurisdiction in the State of Minnesota, subject to any mandatory jurisdiction or venue requirements that may apply.
Nothing in this section prevents either party from seeking emergency or injunctive relief when appropriate, pursuing remedies that cannot lawfully be waived, or exercising rights available under applicable consumer-protection or other mandatory laws.
A separate service agreement or engagement document may contain additional or different dispute-resolution, governing-law, or venue provisions. If such provisions conflict with this section regarding a specific engagement, the applicable written service agreement or engagement document will control.
16. CHANGES TO THESE TERMS
Masse ParaLegal Services may update or revise these Terms & Conditions from time to time to reflect changes in our services, business practices, technology, or applicable legal or regulatory requirements.
When we revise these Terms, we will update the “Last Updated” date displayed at the top of this page. Unless otherwise stated, revised Terms become effective when posted on the website.
Your continued use of the website after revised Terms are posted constitutes acceptance of the updated Terms as they apply to your use of the website.
Changes affecting an existing client engagement will be governed by the applicable service agreement, engagement document, or other written terms. Posting revised website Terms will not, by itself, modify specific contractual terms governing an existing engagement where separate written terms apply.
We encourage you to review these Terms periodically to remain informed about the terms governing use of our website and services.
17. SEVERABILITY AND ENTIRE AGREEMENT
If any provision of these Terms & Conditions is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the extent necessary to make it enforceable where permitted by law. The remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy and any other policies or notices expressly incorporated by reference, constitute the general terms governing use of the Masse ParaLegal Services website and services.
For clients who enter into a separate service agreement, engagement document, proposal, or other written agreement with Masse ParaLegal Services, that agreement may contain additional or different terms applicable to the specific engagement.
If there is a conflict between these general Terms & Conditions and a written agreement governing a specific client engagement, the terms of the applicable written agreement will control for that engagement.
Our failure to enforce any provision of these Terms on one occasion does not constitute a waiver of that provision or our right to enforce it in the future.
